Regulation FD Disclosure.

On January 5, 2022, Sterling Construction Company, Inc. (the “Company”) issued a press release announcing its acquisition of Petillo LLC, a Delaware limited liability company, Petillo NY LLC, a Delaware limited liability company, and Petillo Maryland Incorporated, a Maryland corporation, including such companies’ legal successors (the “Acquisition”). The Company is also furnishing presentation materials regarding the Acquisition that will be used, in whole or in part, at a presentation to investors on January 6, 2021. Copies of the press release and investor presentation are being furnished with this Current Report on Form 8-K as Exhibits 99.1 and 99.2, respectively, and are incorporated herein by reference.
