Item 1.01 Entry into a Material Definitive Agreement.
Amendment to Stock Purchase Agreement with Leveling 8 Inc
On March 18, 2019, the Company entered into a First Amendment (the “Amendment”) to the Stock Purchase Agreement dated as of December 26, 2018, with Leveling 8 Inc. The Amendment, among other things, sets forth the form of certain collateral agreements to be entered into at the closing of the transaction contemplated by the Stock Purchase Agreement, clarifies certain covenants in the Stock Purchase Agreement regarding senior debt and the conditions under which the Company will release items of collateral and provides for a credit to the purchase price and down payment required under the Stock Purchase Agreement in the event that the Sedalia, Missouri or Warminster, Pennsylvania properties owned by the Company’s cable subsidiaries are sold to David Chymiak, an executive officer and director of the Company, or his affiliate prior to the closing of the sale of the cable television segment.
