Explanation of Responses:

1. Amount represents 13,558 shares of restricted stock granted to Mr. Gaydosik on March 10, 2016 under the issuer's equity incentive plan in lieu of a portion of the cash bonus otherwise payable to him under the issuer's performance-based annual incentive compensation plan. These shares of restricted stock will vest in four approximately equal annual installments beginning on March 10, 2017.
