Item 5.07 Submission of Matters to a Vote of Security Holders

The Annual Meeting of Stockholders of Ambac Financial Group, Inc. (the “Company”) was held on May 26, 2022. Represented at the meeting were 37,063,931 shares, or approximately 80%, of the Company’s 46,545,232 shares of common stock outstanding and entitled to vote at the meeting. Set forth below are the final voting results for the actions taken by the stockholders at the meeting.

1.The Company’s stockholders elected the seven (7) director nominees named below to a term expiring at the 2023 annual meeting or until their successors are elected and qualified, with each receiving the following votes:
