Solicitation Of Proxies
The cost of soliciting proxies will be borne by the Company. In addition to solicitation by mail, proxies may be solicited by officers, directors and regular employees of the Company personally or by telephone or facsimile for no additional compensation. Arrangements will be made with brokerage houses and other custodians, nominees and fiduciaries to forward solicitation material to beneficial owners of the stock held of record by such persons, and the Company will reimburse such persons for their reasonable out-of-pocket expenses incurred by them in so doing.
Stockholder Proposals For 2021 Annual Meeting
The rules of the SEC currently provide that stockholder proposals for the 2021 Annual Meeting must be received at the Company’s principal executive office not less than 120 calendar days prior to the anniversary date of the release of the Company’s proxy statement to stockholders in connection with the 2020 Annual Meeting to be considered by the Company for possible inclusion in the proxy materials for the 2021 Annual Meeting. We mailed this proxy statement on or around October 9, 2020, so any proposals intended to be presented at the 2021 Annual Meeting of Stockholders of the Company must be received at the Company’s principal office on or before June 11, 2021 in order to be considered for inclusion in the Company’s proxy statement and form of proxy relating to such meeting.

The Company encourages employees to report possible ethical issues.
