Item 1.01 Entry into a Material Definitive Agreement
On March 21, 2005, the Board of Directors of Pacific Sunwear of California, Inc. approved the performance targets to be used in the calculation of fiscal 2005 cash bonus payments for the Company’s named executive officers, as well as for other officers and certain other employees of the Company. The amount of any bonus payment to be made under these agreements is based primarily on the Company’s net income for fiscal 2005. For a discussion regarding fiscal 2005 cash bonus agreements, please refer to Exhibit 10.1 attached hereto, which is incorporated herein by reference. The bonus awards were granted subject to individual bonus award agreements, a form of which is attached hereto as Exhibit 10.2 and incorporated herein by reference.
