Item 3.01(a). Notice of Delisting or Failure to Satisfy the Continued Listing Rule or Standard; Transfer of Listing.
The registrant has received a Nasdaq Staff Determination dated February 15, 2006 indicating that the registrant fails to comply with the minimum bid price requirement for continued listing set forth in Marketplace Rule 4310(c)(4), and that its securities are, therefore subject to delisting from The Nasdaq Capital Market. The registrant has requested a hearing before a Nasdaq Listing Qualifications Panel to review the Staff Determination, which stays any delisting action pending determination of the appeal.
