On December 30, 2009, A. Schulman, Inc. (the “A. Schulman”), filed a Registration Statement on Form S-4 (Registration No. 333-164085) (the “Registration Statement”) with the Securities and Exchange Commission (the “Commission”), which was subsequently amended on February 8, 2010, March 11, 2010 and March 22, 2010, relative to its pending acquisition of ICO, Inc. (“ICO”) and the solicitation of proxies by the Board of Directors of ICO. Pursuant to Rule 461 of the Securities Act of 1933, as amended (the “Securities Act”), A. Schulman and ICO respectfully requests that the effectiveness of the Registration Statement be accelerated to Thursday, March 25, 2010, at 9:30 A.M., Eastern Time, or as soon thereafter as practicable.
By this letter, the A. Schulman acknowledges that:
