Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Carl H. Rosner has notified the Registrant of his intention to retire from its Board of Directors at the end of his current term, which expires at this year’s Annual Meeting scheduled for June 8, 2006, and not to stand for re-election to the Board of Directors. Mr. Rosner cited his need to devote all of his time to CardioMag Imaging as its President and CEO as his sole reason not to stand for re-election to the Ultralife Batteries Board of Directors and not because of any disagreement with the company on any matter relating to the company’s operations, policies or practices.
