The Annual Meeting of Shareholders of Norbord Inc. was held in Toronto, Ontario, Canada on Thursday, May 3, 2018 at 10:00 a.m. at the National Club, 303 Bay Street, Toronto, Ontario.
The original report on voting results for the meeting was filed on May 3, 2018 and contained an error in the percentage of votes reported as being voted in favour or withheld for the election of directors. This amended report corrects that error and replaces the original report in its entirety.
At this meeting there were263shareholders represented in person or by proxy holding61,146,974common shares and representing70.74% of the Corporation’s86,444,076 issued and outstanding common shares as of the record date of March 5, 2018.

Election of Directors
All of the eight nominees proposed by management for election to the Board of Directors at the Annual Meeting were acclaimed. The directors will remain in office until the next annual meeting of shareholders or until their successors are elected or appointed. The resolution to appoint KPMG LLP, chartered accountants, as Norbord Inc.’s auditors to hold office until the next annual meeting of shareholders or until their successors are appointed, and to authorize the directors to fix their remuneration, was adopted on a vote by a show of handsby a majority of the votes cast by the shareholders present or represented by proxy.
