Explanation of Responses:

1. One share of phantom stock is the economic equivalent of one share of Common Stock of SpartanNash Company (the "Company").

2. The shares of phantom stock will vest and become payable in cash only on the earlier to occur of (a) August 8, 2020 and (b) the date that is 30 days following the employment commencement date of a new Chief Executive Officer of the Company, provided that the reporting person continues to be employed by the Company. In addition, the shares will vest if his employment is earlier terminated without "cause" by the Company, for "good reason" by the reporting person or as a result of his death or disability.
