Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 19, 2012, Bruce A. Quinnell notified the Company that he is retiring from his role as Chairman of the Board of Directors, effective as of the Annual Meeting, and, as a result, Mr. Quinnell has not been nominated for re-election as a director. Mr. Quinnell will continue to serve as Chairman of the Board of Directors until the Annual Meeting, which will be held on November 7, 2012. The Board of Directors has elected Steven R. Becker as Chairman of the Board, effective with the Annual Meeting.
