Explanation of Responses:

1. Transaction represents grant of Restricted Stock Units (RSUs) in a transaction exempt under Rule 16b-3(d). On June 4, 2020 the Reporting Person was granted 25,000 RSUs which vest on June 3, 2021 (the "Vesting Date"), provided that the Reporting Person's service as a director of the Company continues to such date. Each RSU represents the contingent right to receive, at settlement, one share of Wireless Telecom Group (WTT) Common Stock subject to vesting of said unit. Settlement will occur within 30 days of the earlier of three years from the grant date, the date of the Reporting Person's separation from service (assuming vesting) or a change in control (assuming vesting).

2. Of the reported securities, 75,000 are represented by RSUs.
