Item 8.01 Other Events.
On May 27, 2005, AFG Investment Trust C Liquidating Trust (the “Liquidating Trust”) declared a $2.8 million distribution to the beneficial interest holders of the Liquidating Trust on that date to be paid on or before June 8, 2005. The distribution represents a return of a significant portion of the Liquidating Trust’s excess cash including proceeds received to date from the sale of EFG/Kettle Development LLC and proceeds from a litigation settlement.. The distribution is approximately $1.12 per Class A beneficial interest.
