Explanation of Responses:

1. These shares were received pursuant to a testamentary trust at a cost basis of $2.33 per share.

2. All shares directly owned are held in Mr. Schultz's Roth IRA. Mr. Schultz's total direct and indirect beneficial ownership of non-derivative securities is 1,922,500 shares.

Remarks:

Mr. Schultz also holds options to purchase 2,500,000 shares of common stock as previously reported on Form 3, none of which were affected by the transactions reported herein.
