(e) The Company has entered into a consulting agreement with Stephen D. Lupton, the Company’s Senior Vice President — Corporate Development and General Counsel, providing for his provision of consulting services to the Company following his retirement, which is scheduled to occur on December 31, 2008. The consulting agreement has a three year term and provides for annual payments of $200,000.
