ITEM 5. OTHER EVENTS
On October 11, 2002, NEXIQ Technologies, Inc., a New Hampshire corporation (the "Company"), issued a press release announcing that the Company and certain of its subsidiaries had filed a voluntary petition for reorganization under Chapter 11 of the federal Bankruptcy Code in the United States Bankruptcy Court for the Eastern District of Michigan, Southern Division. The Company announced that the purpose of the filing is to conduct and consummate a sale of significantly all of the Company's operations on an expedited basis.
On November 4, 2002, the Company filed a motion with the Court seeking approval of certain procedures regarding the sale of substantially all of its assets. By an Order dated November 14, 2002, the Court granted the Company's motion for an order establishing uniform bidding procedures and approving the form and manner of notice for the sale of substantially all assets of the individual debtors free and clear of liens, encumbrances and interests. The full text of the order of the court is attached hereto as Exhibit 99.
