Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On July 25, 2007, Abaxis, Inc. (the “Company”), pursuant to resolutions of its Board of Directors, adopted an amendment to Sections 7.1 and 7.2 of Article VII of the Company’s Bylaws to expressly permit book-entry shares, pursuant to newly adopted rules of the Nasdaq Global Select Market. The Bylaw amendment became effective immediately upon adoption of such resolutions. A copy of the Bylaw amendment is filed herewith as Exhibit 3.1.
