Explanation of Responses:

1. 25% of the RSUs shall vest on the one-year anniversary of the Grant Date and one eighth of the RSUs shall vest every six months thereafter subject to the continued employment of Mr.Nader with the Company.

2. 25% of the RSUs shall vest quarterly from the grant date over a one-year period, subject to the continued employment of Mr. Nader with the Company.
