Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 12, 2021, QuickLogic Corporation (the “Company”) held its 2021 Annual Meeting of Stockholders (the “2021 Annual Meeting”). At the 2021 Annual Meeting, the Company’s stockholders approved (i) the amendment to the Company’s 2019 Stock Plan (the “2019 Stock Plan Amendment”) to increase the maximum aggregate number of shares of common stock available by 600,000, from 907,143 to 1,507,143. The 2019 Stock Plan Amendment previously had been approved, subject to stockholders’ approval, by the Company’s Board of Directors on March 15, 2021. The previous 2019 Stock Plan Amendment had been approved by the Company’s stockholders’ at the Company’s 2020 Annual Meeting on April 22, 2020. The Company’s officers and directors are among the persons eligible to receive awards under the 2019 Stock Plan Amendment in accordance with the terms and conditions thereunder.
The description of the 2019 Stock Plan Amendment is qualified in its entirety by reference to the full text of the 2019 Stock Plan Amendment, a copy of which is attached as Exhibit 10.1.
Item 5.07 Submission of Matters to a Vote of Security Holders
At the 2021 Annual Meeting, there were 11,270,290 shares of our common stock (as of the record date of March 15, 2021) entitled to vote, of which, 6,918,482 shares were present in person or represented by proxy, representing 61.39% of the total outstanding shares of our common stock entitled to vote. The final voting results of each proposal are set forth below:
