STATER BROS. HOLDINGS INC. ANNOUNCES EXTENSION
OF TENDER OFFER AND RESULTS TO DATE
COLTON, California (May 27, 2004) — Stater Bros. Holdings Inc. (“Stater Bros.” or the “Company”) announced today that it has extended the expiration date of its previously announced tender offer and consent solicitation (the “Offer”) for any and all of its outstanding $449,750,000 million aggregate principal amount of 10-3/4% Senior Notes due 2006, CUSIP No. 857555AH9 (the “Notes”). The Offer, previously set to expire at midnight, New York City time, on Friday, June 11, 2004, will now expire at 9:00 a.m., New York City time, on Wednesday, June 16, 2004 (the “Expiration Time”), unless extended or earlier terminated. Accordingly, the Price Determination Date for the Offer will be 2:00 p.m., New York City time, on Wednesday, June 2.
As of 5:00 p.m. New York City time on May 27, 2004 (the “Consent Payment Deadline”), holders of $397.7 million, or approximately 88.4%, aggregate principal amount of the outstanding Notes have delivered valid tenders and consents pursuant to the Offer.
Accordingly, the Company has received the requisite consents required to adopt the proposed amendments to the indenture governing the Notes. Adoption of the proposed amendments required the consent of holders of at least a majority of the aggregate principal amount of outstanding Notes. Although the supplemental indenture setting forth the proposed amendments has been executed, the proposed amendments will not become operative until the Notes are accepted and payment is made pursuant to the terms of the Offer.
The offer is subject to the satisfaction of certain conditions, including the receipt of financing.
