ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.
On January 18, 2006, Bobby I. Griffin resigned from the Board of Directors of Urologix, Inc. (the “Company”) for reasons unrelated to a disagreement over the Company’s operations, policies or practices. Attached as Exhibit 99.1 is Mr. Griffin’s letter of resignation. Additionally, on January 18, 2006, the Board of Directors of the Company appointed Jerry C. Cirino as a director and also appointed him to serve on the Audit Committee of the Board of Directors. Attached hereto as Exhibit 99.2 is a press release issued by the Company on January 19, 2006 relating to the departure of Mr. Griffin from and the appointment of Mr. Cirino to the Board of Directors.
