We announced today that Cornerstone Building Brands has reached an agreement with Clayton, Dubilier & Rice (CD&R), which currently owns approximately 49% of our shares, under which CD&R will acquire the outstanding shares of our common stock that it does not already own for $24.65 per share in an all-cash transaction. As a result of this transaction, Cornerstone Building Brands will become a privately held company. CD&R has been a valuable part of our organization since Cornerstone Building Brands was formed through the merger of NCI Building Systems and Ply Gem Building Products in 2018 and they recognize our strong commitment to excellence in delivering for our customers. We believe this will be a positive transaction for our company and our business together.
