Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On June 1, 2020, the Compensation Committee (the “Committee”) of the Board of Directors of USA Truck Inc. (the “Company”) approved a grant to Mr. James Reed, the Company’s President and Chief Executive Officer, of 75,000 shares of restricted stock with vesting being conditioned upon the volume weighted average stock price of the Company’s common stock being at or above $10 per share at any point in a trading day, on each of 10 consecutive trading days (the Performance Condition”) during the two-year period following the date of grant (the “Performance Period”). If the Performance Condition is achieved, the restricted stock will vest at the end of the Performance Period.
