Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
Amendment to Bylaws
On January 28, 2016, the Board of Directors of Union Bankshares Corporation (the “Company”) approved an amendment to its Bylaws, effective January 28, 2016. Section 8 of Article II of the Bylaws was amended to increase the maximum age for persons serving as directors of the Company from 70 to 72. A copy of the Bylaws of the Company, as amended, is attached as Exhibit 3.2 to this report and is incorporated herein by reference.
