On December 28, 2018, Microbot Medical Inc. (“Microbot,” the “Company,” “we,” “our” or “us”) filed with the Securities and Exchange Commission (the “SEC”) a Registration Statement on Form S-1 (file number: 333-228285), as amended, first filed with the SEC on November 8, 2018 (the “Registration Statement”). The Registration Statement contains (i) an updated summary description of the Company’s business in the section entitled “Prospectus Summary,” and (ii) revised and additional risk factors in the section entitled “Risk Factors” that are not otherwise included in the Company’s reports filed with the SEC under the Exchange Act of 1934, as amended. These disclosures, together with certain previously announced updates regarding the Company’s in-vitro study and patent portfolio, are attached hereto as Exhibit 99.1 and incorporated herein by reference.
