On August 13, 2018, First Data Corporation (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) by and among the Company, New Omaha Holdings L.P. (the “Selling Stockholder”), and Citigroup Global Markets Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives of the several underwriters named therein (the “Underwriters”), relating to an underwritten offering of 64,000,000 shares (the “Shares”) of the Company’s Class A common stock, par value $0.01 per share (“Common Stock”), pursuant to the Company’s Registration Statement on FormS-3 (FileNo. 333-226802), filed on August 13, 2018. All of the Shares are being sold by the Selling Stockholder. Pursuant to the Underwriting Agreement, the Underwriters agreed to purchase the Shares at a price of $23.215625 and were granted a30-day option to purchase up to an additional 9,600,000 shares of Common Stock from the Selling Stockholder.
The description of the Underwriting Agreement is qualified in its entirety by the terms of such agreement, which is incorporated herein by reference and attached to this report as Exhibit 1.1.
On August 14, 2018, the Underwriters exercised in full their30-day option to purchase an additional 9,600,000 shares of Common Stock. The offering of 73,600,000 shares of Common Stock (including the additional 9,600,000 shares of Common Stock pursuant to the Underwriters’30-day option) settled on August 16, 2018.
The Selling Stockholder received all of the net proceeds from this offering. No shares of Common Stock were sold by the Company. After the consummation of the offering of the shares of Common Stock (including the sale of additional 9,600,000 shares of Common Stock pursuant to the Underwriters’30-day option), investment funds or entities associated with or designated by Kohlberg Kravis Roberts & Co. L.P. hold approximately 60% of the economic interests in New Omaha Holdings L.P. and certain otherco-investors hold approximately 40% of the economic interests in New Omaha Holdings L.P. Of the shares of Common Stock sold in this offering, approximately 29.2 million were held on behalf of KKR 2006 Fund L.P. and approximately 9.8 million were held on behalf of a subsidiary of KKR & Co. Inc.
