Restricted Stock Units granted on February 23, 2022, pursuant to the 2017 Viad Corp Omnibus Incentive Plan, and will vest in three equal tranches on each of February 23, 2023, February 23, 2024, and February 23, 2025, and are payable in shares of VVI common stock on a one-for-one basis upon vesting.

2. Between August 2021 and February 2022, the reporting person acquired 154.0217 shares of VVI common stock under the Viad Corp 401(k) plan

3. The option vests and becomes exercisable in three equal tranches on each of February 23, 2023, February 23, 2024, and February 23, 2025.
