Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 4, 2009, the board of directors of the Company promoted the Company’s Senior Vice President of Operations, Michael Clark, to the position of Chief Operating Officer. Mr. Clark’s base salary was increased by 10% to $275,000 effective as of June 1, 2009. Except as set forth above, Mr. Clark’s compensation and benefits will remain the same as described in the Company’s Form 10-K/A filed with the Securities and Exchange Commission on April 30, 2009 (the "Form 10-K/A").
Information required by Items 401(b), (d), (e) and Item 404(a) of Regulation S-K for Mr. Clark has been included in the Form 10-K/A and such information is incorporated herein by reference.
