Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 27, 2009, Ms. M. Shawn Puccio, age 46, was elected to the Board of Directors of UGI Corporation (the "Company") by the shareholders at the Company's annual meeting. Ms. Puccio will serve on the Audit Committee of the Board.
Ms. Puccio replaced James W. Stratton on the Company's Board of Directors. Mr. Stratton, age 72, retired from the Board after 30 years of service, effective January 27, 2009.
Ms. Puccio is Senior Vice President, Finance of Saint-Gobain Corporation, the North American business of Compagnie de Saint-Gobain, a global manufacturer and distributor of flat glass, building products, glass containers and high performance materials. She is also a Director of the Girl Scouts of Eastern Pennsylvania and UGI Utilities, Inc.
