On March 15, 2023, the Board of Directors (the “Board”) of Primo Water Corporation (the “Company”) appointed Eric J. Foss to serve as a member of the Board, effective immediately, until his successor is duly elected and qualified or until his earlier resignation or removal. As of the time of the filing of this Current Report on Form 8-K, the Board has not determined the committees to which Mr. Foss will be appointed.
Mr. Foss’s compensation for his services as a director will be consistent with that of the Company’s other non-employee directors, as described in Exhibit 10.1 to the Company’s Form 10-Q filed with the Securities and Exchange Commission (the “SEC”) on August 11, 2022.
There is no arrangement or understanding between Mr. Foss and any other persons or entities pursuant to which Mr. Foss was appointed to the Board. There are no transactions in which Mr. Foss has an interest requiring disclosure under Item 404(a) of Regulation S-K.
On March 16, 2023, the Company issued a press release announcing the appointment of Mr. Foss. A copy of the press release is filed herewith as Exhibit 99.1 to this report and is incorporated herein by reference as if fully set forth under this item.
