1. Shares were acquired upon vesting of performance stock units awarded on January 31, 2014.

2. Represents shares sold to satisfy withholding tax requirements, pursuant to a Rule 10b5-1 trading plan.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $6.035 to $6.20, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Security and Exchange Commission, upon request, full information regarding the shares sold at each separate price within the range set forth in this footnote.

4. Each performance stock unit represents a right to receive one share of ARIAD common stock.
