On March 16, 2010, Authentidate Holding Corp. (the “Registrant”) announced by press release that the United States Court of Appeals for the Second Circuit issued an order affirming in part and vacating and remanding in part the March 2009 decision of the U.S. District Court for the Southern District of New York which granted the Registrant’s motion to dismiss with prejudice the shareholder class actions filed between June and August 2005 against the Registrant and certain current and former directors and former officers.
A copy of the press release has been filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
