Item 4.02. Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review.
On May 13, 2010, the Audit Committee Chair of Anchor BanCorp Wisconsin, Inc. (the “Company”), as previously authorized by the Company’s board of directors, concluded based upon the recommendation of management and the findings of a recent internal financial review of the accounting for FDIC insurance premiums at its wholly-owned subsidiary, AnchorBank, fsb (the “Bank”), that the Company’s previously filed consolidated financial statements as of and for the three quarters ending June 30, 2009, September 30, 2009 and December 31, 2009, as reported in its Quarterly Reports on Form 10-Q, as well as the Company’s previously issued earnings release for each affected quarter, can no longer be relied upon and would be restated based on the adjusted additional accrued FDIC insurance premiums. As a result of the foregoing, the Company expects to incur an additional loss in the range of $1.2 million to $3.2 million for each quarter under restatement for a total loss of approximately $6.6 million. The impact of the restatement will have no change on the Bank’s regulatory capital ratio classification for any affected quarters. Representatives of the Board and members of the Company’s executive management discussed the matters disclosed in this Item 4.02(a) with McGladery and Pullen, LLP, its independent registered public accounting firm.
Management is also assessing the effect of this restatement on its internal controls over financial reporting and disclosure controls and procedures. Management does not expect to reach a conclusion on its internal controls over financial reporting and disclosure controls and procedures until the completion of the restatement process.
