(b) On July 22, 2005, we received notice that Mr. Charles R. Rice, Jr. will resign from our Board of Directors effective September 13, 2005, in connection with his retirement from Northern Neck Electric Cooperative.
(c) Not applicable.
(d) On July 26, 2005, our Board of Directors elected Mr. Fred C. Garber as a member of the Board of Directors. Mr. Garber was recommended to the Nominating Committee by Shenandoah Valley Electric Cooperative to replace Mr. Dick D. Bowman.
