Item 8.01 Other Events.
Valeant Pharmaceuticals International (“Valeant”), a wholly owned indirect subsidiary of Valeant Pharmaceuticals International, Inc., plans to offer approximately $700.0 million aggregate principal amount of senior unsecured notes. The notes will be offered in the United States to qualified institutional investors under Rule 144A of the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons in transactions outside the United States under Regulation S of the Securities Act.
The foregoing is qualified by reference to the press release that is attached as Exhibit 99.1 to this Current Report on Form 8-K, which is incorporated herein by reference.
