Item 2.02. Results of Operations and Financial Condition.
On February 25, 2016, Kohl's Corporation issued a press release reporting its earnings for the quarter and year ended January 30, 2016, providing earnings guidance for fiscal 2016 and announcing store closures. A copy of the press release is attached as Exhibit 99.1 and incorporated by reference herein.

On February 24, 2016 the Kohl's Board of Directors declared a quarterly dividend of $0.50 per common share. The dividend will be paid on March 23, 2016 to all shareholders of record at the close of business on March 9, 2016.
