Item 8.01.
Other Events.
On December 20, 2018, Kohl’s Corporation (the “Company”) voluntarily exercised its option to redeem all $413 million in aggregate principal amount of its outstanding 4.000% Notes due November 1, 2021 (the “Notes”). The Notes will be redeemed in full on January 24, 2019 (the “Redemption Date”) at a redemption price equal to the greater of (i) 100% of the principal amount of the Notes to be redeemed or (ii) the sum of the present values of the remaining scheduled payments of principal and interest thereon (not including any portion of such payments of principal and interest accrued as of the Redemption Date ), discounted to the Redemption Date on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months) at the Treasury Rate (as defined in the Fifth Supplemental Indenture), plus 30 basis points, plus in either case accrued and unpaid interest thereon to the Redemption Date. From and after the Redemption Date, interest on the Notes will cease to accrue.
