ITEM 2.05 COSTS ASSOCIATED WITH EXIT OR DISPOSAL ACTIVITIES.
In connection with the sale of the specialty pharmaceuticals business described below in Item 8.01 of this Current Report on Form 8-K and the approval by the Board of Directors of such sale on November 25, 2020, Boston Scientific Corporation (the “Company”) expects to record an estimated $200 million pre-tax GAAP loss during the fourth quarter of 2020.
ITEM 8.01 OTHER EVENTS.
On December 1, 2020, the Company announced the execution of a definitive agreement pursuant to which the Company agreed to sell its specialty pharmaceuticals business to Stark International Lux S.A.R.L., and SERB SAS, affiliates of SERB, a European specialty pharmaceutical group, for a purchase price of U.S. $800 million. The transaction is expected to close during the first half of 2021, subject to customary regulatory approvals and other closing conditions.
The Company acquired the specialty pharmaceuticals business as part of its 2019 acquisition of BTG plc.
The Company issued a press release on December 1, 2020, announcing the transaction. A copy of the press release is included as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
