Cinemark USA, Inc. (the “Company,” “we,” “us” or “our”), a wholly-owned subsidiary of Cinemark Holdings, Inc. (“Cinemark Holdings”), is providing the following disclosure, which is being disclosed by Cinemark Holdings in connection with a potential financing transaction by Cinemark Holdings.
Proposed Amendment to Credit Agreement Waiver
Under the terms of the Company’s amended and restated senior secured credit facility, as amended (the “Credit Agreement”), when revolving loans are outstanding under the Credit Agreement, the Company is required to maintain a consolidated net senior secured leverage ratio (as defined in the Credit Agreement) of not greater than 4.25 to 1.00. In April 2020, the Company received a waiver of such maintenance covenant from the majority of revolving lenders under the Credit Agreement for the fiscal quarters ending September 30, 2020 and December 31, 2020. The Company intends to amend and restate the existing waiver to (i) extend the waiver of the leverage covenant through the fiscal quarter ending on September 30, 2021, (ii) for purposes of testing the consolidated net senior secured leverage ratio for the fiscal quarters ending on December 31, 2021, March 31, 2022 and June 30, 2022, permit the Company to substitute Consolidated EBITDA (as defined in the Credit Agreement) for the first three fiscal quarters of 2019 in lieu of Consolidated EBITDA for the corresponding fiscal quarters of 2021, (iii) modify the restrictions imposed by the covenant waiver and (iv) make such other changes to permit Cinemark Holdings to engage in its potential financing transaction. While Cinemark Holdings’s potential financing transaction is conditioned upon the receipt of the waiver amendment, as of the date hereof, the Company has received the required consents for such waiver, which is expected to become effective upon (and subject to) the consummation of such financing transaction.
