Explanation of Responses:

1. On February 5, 2015, the reporting person received performance stock units (PSUs) that vest upon the satisfaction of certain performance conditions. On December 18, 2017, the Compensation Committee determined that certain of the performance criteria were met and a portion of the shares subject to the PSUs vested.

2. Represents shares withheld to satisfy tax withholding obligation upon the vesting of performance stock units.

3. Represents shares withheld to satisfy tax withholding obligation upon the vesting of restricted stock units.
