1. Represents restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's common stock. The RSUs shall vest over three years, in three substantially equal annual installments on September 22, 2024; September 22, 2025; and September 22, 2026, subject to the Reporting Person's continued service to the Issuer through each such vesting date.

2. Grant of Stock Options that will vest and become exercisable in three substantially equal annual installments on September 22, 2024; September 22, 2025; and September 22, 2026, subject to the Reporting Person's continued service to the Issuer through each such vesting date.
