On April 30, 2007, Universal Hospital Services, Inc. ("UHS") announced that it has initiated a cash tender offer to purchase any and all of the $260,000,000 outstanding aggregate principal amount of its 10.125% Notes due 2011(CUSIP 91359PAB6). A copy of the press release announcing the tender offer and consent solicitations is attached as Exhibit 99.1 to this report.
