ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.
(b) On February 14, 2006, Andy Weaver, Controller and Chief Accounting Officer of Universal Hospital Services, Inc. (the “Company”) informed the Company of his resignation, which will be effective on April 3, 2006. Rex Clevenger, Senior Vice President and Chief Financial Officer, will assume Mr. Weaver’s responsibilities at that time. Mr. Weaver resigned to pursue another employment opportunity.
