Graphic Packaging Corporation Reports Second Quarter 2004 Results
Marietta, GA, August 4, 2004. Graphic Packaging Corporation (NYSE: GPK), formerly Riverwood Holding, Inc., a leading provider of paperboard packaging solutions, today reported net income for the second quarter 2004 of $0.2 million or $0.00 per diluted share, based upon 202.4 million shares. Results for the quarter compare to a second quarter 2003 net loss of $6.4 million, or $(0.06) per diluted share, based upon 114.9 million shares.
In August 2003, Graphic Packaging International Corporation and Riverwood Holding, Inc. merged in a stock-for-stock transaction and, at that time, Riverwood Holding, Inc. was renamed Graphic Packaging Corporation. The merger has been accounted for as a purchase transaction. Results for 2004 discussed herein are those of the merged company. Results for 2003 are those of Riverwood Holding, Inc. The unaudited pro forma net loss for the second quarter 2003 was $3.9 million or $(0.02) per diluted share based upon 198.4 million shares. Unaudited pro forma Statements of Operations for each quarter of 2003 are provided as a supplementary table to this release.
Earnings for the second quarter reflect solid performance across the Company’s operations, enhanced by greater realization of merger synergies than was originally planned. Increased costs, primarily for energy and fiber, along with beverage carton manufacturing variances, partially offset the results.
During the second quarter, the Company reduced total debt by $71.2 million to $2,147.3 million through improved operating cash flow and $9.2 million of net proceeds from the sale of the Garden Grove, California plant. The Company expects to achieve a full year debt reduction of $100 million as previously disclosed.
“As we approach the first year anniversary of our merger, I am happy to report that we are well ahead of our original synergy targets, having achieved approximately $37 million of synergies, since August 8, 2003” said Stephen M. Humphrey, President and Chief Executive Officer. “We are meeting or exceeding our goals in all categories of merger synergies, including the integration of the Company’s paperboard production into its carton converting system, more effective leveraging of our purchasing power, disciplined reduction of excess overhead and rationalization of our manufacturing capacity.”
“In addition, I am very pleased with the market acceptance of our Fridge Vendor® beverage carton, which is occurring faster than we anticipated. During the second quarter, Heineken N.V. introduced its Heineken and Amstel Light beer products packaged in the Fridge Vendor® carton. In fact, adoption of the Fridge Pack 2X6 configuration was ahead of our new capital plan to produce it cost effectively, leading to unfavorable manufacturing variances. As we complete our beverage carton manufacturing strategy, we anticipate production costs will come down. Existing assets in our paperboard mills and carton converting plants performed solidly all quarter as we experienced increased throughput and lower scrap than expected.”
Net sales increased 79.1% to $606.3 million during second quarter 2004, compared to $338.6 million of second quarter 2003 net sales for Riverwood Holding, Inc. Net sales were $7.3 million or 1.2% higher than pro forma net sales of $599.0 million for second quarter 2003. Net sales were impacted by:
• A positive contribution of $7.6 million due to favorable foreign currency exchange rates. The Company’s total international sales were $107.8 million or approximately 18% of total sales for second quarter 2004.
• Increased containerboard sales of $2.9 million or 14.9% over second quarter 2003 due to improved pricing in the corrugated medium market.
• Lower year over year pricing for beverage and food and consumer product cartons.
Income from operations for second quarter 2004 was $36.7 million, compared to second quarter 2003 income from operations of $29.2 million for Riverwood Holding, Inc. Unaudited pro forma income from operations was $35.4 million for the second quarter 2003. Income from operations was impacted by:
• The realization of $18 million of integration synergies from the merger. The company achieved approximately $10 million of synergies in first quarter 2004.
• Depreciation and amortization expense for the quarter of $56.7 million compared to $53.0 million on a pro forma basis for second quarter 2003. Depreciation and amortization includes amortization of intangibles amounting to $7.6 million resulting from the merger reflected in other expense, net. This expense will decrease significantly in the third and fourth quarters. As previously disclosed, depreciation and amortization expense is forecasted to be $220-$230 million for the year.
• Energy costs at our U.S. mills, which were up approximately $2.5 million in the second quarter 2004 versus pro forma costs for second quarter 2003.
• Fiber costs at our U.S. mills, which were up approximately $2.4 million in the second quarter 2004 versus pro forma costs for second quarter 2003.
• A charge of approximately $1.9 million related to asset retirements principally at our paperboard mills, reflected in other expense, net.
Net interest expense was $36.0 million for second quarter 2004, as compared to pro forma net interest expense of $36.2 million for second quarter 2003.
Income tax expense for the 2004 and 2003 periods was primarily incurred on income earned in foreign countries. The Company has approximately $1.3 billion of net operating loss (“NOL”) that is available to shelter future taxable income, subject to limitations as described in the Company’s filings with the Securities and Exchange Commission (SEC).
Capital expenditures for second quarter 2004 were $30.3 million, of which approximately $2.6 million was related to the Company’s beverage carton manufacturing initiative. Expenditures on this initiative now total approximately $55.6 million of the total projected expenditure of $75 million during the 2003-2005 period. Total capital expenditures on a year-to-date basis are $75.3 million, in line with the Company’s previously disclosed capital expenditure estimate of $150 million for 2004.
EBITDA for second quarter 2004 was $93.4 million versus $88.4 million on a pro forma basis for second quarter 2003. Credit Agreement EBITDA for second quarter 2004 was $104.9 million, versus $96.4 million on a pro forma basis for second quarter 2003. Credit Agreement EBITDA refers to EBITDA as defined in the Company’s $1.6 Billion Credit Agreement (the “Credit Agreement”) and is a financial measure used to determine compliance with certain covenants thereunder. Credit Agreement EBITDA is calculated on a pro forma basis and should not be construed as an alternative to income from operations or net income as a measure of operating results or as an alternative to cash flow as a measure of liquidity. Borrowings under the Credit Agreement are a key source of the Company’s liquidity. A tabular reconciliation of EBITDA and Credit Agreement EBITDA is attached to this release.

Reconciliation of Non-GAAP Financial Measures
The table below sets forth the Company’s earnings before interest expense, income tax expense, equity in the net earnings of the Company’s affiliates, depreciation and amortization (“EBITDA”), and “Credit Agreement EBITDA,” which is a financial measure that is used in the Company’s Senior Secured Credit Agreement. Since entering into its Senior Secured Credit Agreement, the Company has disclosed its Credit Agreement EBITDA in quarterly earnings releases, but is also disclosing EBITDA in this release because the Company believes EBITDA is also an important measure of our performance. Neither EBITDA nor Credit Agreement EBITDA is a defined term under accounting principles generally accepted in the United States and should not be considered as an alternative to income from operations or net income as a measure of operating results or cash flows as a measure of liquidity.
Credit Agreement EBITDA differs from EBITDA in that in addition to adjusting net income to exclude interest expense, income tax expense, equity in the net earnings of the Company’s affiliates and depreciation and amortization, Credit Agreement EBITDA also adjusts net income by excluding certain other items and expenses, as specified below. The Company’s definition of Credit Agreement EBITDA may differ from that of other similarly titled measures at other companies. The Senior Secured Credit Agreement requires the Company to comply with a specified consolidated debt to Credit Agreement EBITDA leverage ratio and a specified Credit Agreement EBITDA to consolidated interest expense ratio for specified periods, (as described in the Company’s reports filed with the SEC).
