2. Each restricted stock unit ("RSU") represents the contingent right to receive one share of the Issuer's common stock.

3. The RSUs were granted on February 18, 2025 and vest in four consecutive equal annual installments from the date of grant, provided the Reporting Person continues to provide services to the Issuer through the applicable vesting date.
