| 1. In conjunction with Avon Products, Inc.'s ("Avon") merger with Natura Cosmeticos S.A. (the "Merger") that was completed on 01/03/2020 each share of Avon stock converted into the right to receive shares of Natura & Co. Holding. |

Each award of Avon Stock Options outstanding at the effective time of the Merger was canceled in exchange for the right to receive an amount in cash equal to the aggregate spread value of such award. 683,400 options had an exercise price of $3.33 and 683,400 options had an exercise price of $3.49. The closing price on the date of the Merger was $5.60. |
