(b) Michael Sherwood, currently a Vice Chairman of The Goldman Sachs Group, Inc. (the Registrant), and co-Chief Executive Officer of Goldman Sachs International, has determined to retire, effective December 31, 2016. He will continue to be affiliated with the Registrant as a senior director.
