ITEM 8.01OTHER EVENTS.
In December 2004 the Company learned that the staff of the Securities and Exchange Commission (“SEC”) has been conducting a formal investigation of certain trades in the Company’s common stock involving the Company and certain of its officers and directors during the period commencing in or about April 2003 to at least July 2003. The Company has also learned that the staff is investigating trades involving the Company’s common stock by other persons unaffiliated with the Company. At this time, the Company does not believe the investigation will have a material impact on the management or operations of the Company. The staff has advised that at this time this is only a fact finding inquiry and no conclusion should be reached that the Company or any person has violated any law. The Company and its officers and directors are fully cooperating with the SEC in this matter.
