Item 8.01. Other Events.
On January 26, 2007, MRV Communications, Inc. issued a press release announcing its intent to have its wholly-owned subsidiary, Luminent, Inc. conduct an initial public offering of its equity securities that, when made, will be registered under the Securities Act of 1933 with the Securities and Exchange Commission, a copy of which is filed as Exhibit 99.1 with this report.
